The way I have seen this happen (twice) is that the FNM private owner
bought other privates/shares and can't defend FNM. Someone else takes
it over yet has more money left and therefore priority. The new
president screws the FNM as previously described, then dumps the company
on the former president in the next stock round.
If I get the FNM private, I may even pass once during the first stock
round if someone has enough money to pull this off just to make sure it
doesn't happen to me. It isn't necessarily great for the one who does
it, but it is devastating to the one on the receiving end.
